Welcome to growdeal.in our Platform. By accessing or using our website or services, you agree to be bound by the following Terms & Conditions (“Terms”). If you do not agree with these Terms, do not use or access the Platform.

1. Definitions & Interpretation

1.1 In these Terms, unless the context requires otherwise:

  • “User(s)” means any person who accesses, browses, uses, or purchases via the Platform (includes buyers, sellers, resellers).
  • “Seller(s)” means registered merchants or suppliers who list products for sale on the Platform.
  • “Products” means items listed by Sellers for sale via the Platform.
  • “Order” means the request placed by a User for purchase of one or more Products via the Platform.
  • “Services” means the services provided by us to facilitate transactions (order placement, payment processing, fulfillment support, etc.).
  • “Platform” means our website, mobile site, apps, and any interface via which we provide our services.

1.2 Headings are for convenience only and do not affect interpretation.

2. Eligibility & Account Registration

2.1 You must be of legal age (18 years or above, or as per applicable law) to use the Platform.

2.2 To make purchases or sell, you must register an account by providing accurate, current, and complete information as requested.

2.3 You are responsible for maintaining confidentiality of your account credentials. You agree to notify us immediately of any unauthorized access or security breach related to your account.

2.4 You agree not to use another person’s account without permission.

3. Listing of Products by Sellers

3.1 Sellers may list Products they wish to sell, subject to our approval and compliance with our listing guidelines, policies, and applicable laws.

3.2 We reserve the right (but not obligation) to remove, suspend, or reject any listing which violates policies or which we believe is unlawful, infringing, misleading, or otherwise inappropriate.

3.3 Sellers must ensure that the Products listed are genuine, legal, comply with product safety laws, and do not infringe on intellectual property rights.

4. Order Placement & Acceptance

4.1 When you (a User) place an Order, you are making an offer to purchase the Products listed.

4.2 We (or the Seller) may accept or reject your Order. Acceptance occurs when the Seller confirms the Order (or fulfillment is initiated).

4.3 We may impose limits (including quantity limits) on the number of Products you can order.

4.4 We reserve the right to cancel or refuse any Order for reasons including unavailability of stock, pricing errors, suspected fraud, or violation of Terms.

5. Pricing & Payments

5.1 The price of a Product is as displayed at the time you place the Order, subject to change until acceptance.

5.2 Prices may exclude taxes, shipping, or other fees; such additional charges will be clearly communicated.

5.3 Payment must be made via methods accepted on the Platform (e.g. credit/debit cards, UPI, net banking, wallets).

5.4 Payment processors are third parties; we are not responsible for delays or failures in payment processing, except to the extent caused by our gross negligence.

6. Shipping, Delivery & Title

6.1 Sellers or assigned logistics partners will ship the Product to the delivery address you provide.

6.2 We aim to meet the estimated delivery timelines but do not guarantee them — delays may occur due to logistics, force majeure, etc.

6.3 Risk of loss or damage to Products passes to you once they are delivered and accepted at the address.

6.4 Title (ownership) in Products passes to you upon full payment and delivery, unless otherwise stated.

7. Returns, Refunds & Exchanges

7.1 We may allow returns, refunds, or exchanges according to our Return Policy (which is a separate policy and forms a part of these Terms).

7.2 You agree to comply with return timelines, condition requirements (e.g. unused, original packaging), and procedures prescribed in the Return Policy.

7.3 Refunds, where applicable, will be made via the original mode of payment unless otherwise specified.

7.4 We reserve the right to refuse returns or refunds if the Product shows signs of misuse, damage, or does not meet return policy conditions.

8. Intellectual Property

8.1 All content on the Platform (text, graphics, logos, images, software) is owned or licensed by us and is protected by intellectual property laws.

8.2 You may not copy, reproduce, republish, upload, post, transmit or distribute any content from the Platform without prior written consent.

8.3 If you believe your intellectual property rights are infringed by a listing or content on the Platform, you may notify us per our infringement take‑down policy.

9. User Conduct & Prohibited Activities

9.1 You agree not to:

  • Use the Platform for illegal or unauthorized purposes;
  • Violate any applicable law or regulation;
  • Infringe intellectual property or privacy rights of others;
  • Transmit viruses, malware, or harmful code;
  • Attempt to gain unauthorized access to systems;
  • Use automated bots or scrapers to collect data from the Platform;
  • Mislead or deceive other Users.

9.2 Violation of this clause may lead to suspension or termination of your account.

10. Disclaimers, Limitation of Liability & Indemnity

10.1 No Warranty: The Platform and Services are provided “as is” and “as available,” without any warranties (express or implied), including merchantability, fitness for a particular purpose, or non-infringement.

10.2 Limitation of Liability: To the maximum extent permitted by law, we shall not be liable for any indirect, consequential, incidental, punitive or special damages, loss of revenue, goodwill, data, or profits arising from your use of the Platform or any transaction.

10.3 Cap on Liability: Our total liability for direct damages shall, where permitted by law, be limited to the amount you paid for the relevant transaction(s).

10.4 Indemnity: You agree to indemnify, defend, and hold harmless our company, officers, agents, employees from all claims, demands, losses, damages, liabilities, and expenses (including legal fees) arising out of your breach of these Terms or your use of the Platform.

11. Force Majeure

We shall not be liable for any delay or failure in performance due to events beyond our control (e.g. natural disasters, acts of God, war, civil unrest, strikes, pandemics, government actions, network disruptions).

12. Modification of Terms

We reserve the right to modify, update, or replace these Terms at any time. We will notify you (e.g. via email or on the Platform) of significant changes. Your continued use of the Platform after modifications constitutes acceptance of the revised Terms.

13. Termination & Suspension

13.1 We may suspend or terminate your account, restrict access, or refuse service at our discretion (with or without cause, with or without notice).

13.2 Upon termination, your right to use the Platform terminates, but Sections such as Intellectual Property, Disclaimers, Indemnity, etc., survive.

14. Notices & Communications

14.1 We may communicate with you via email, SMS, in‑app notifications, or posted notices on the Platform.

14.2 You agree that notices sent to the contact information in your account are sufficient.

14.3 You shall not use your account to send unsolicited messages or spam to others.

15. Governing Law & Dispute Resolution

15.1 These Terms and any dispute arising out of or in relation to them shall be governed by the laws of [State / Country] (for example, the laws of India).

15.2 Any disputes shall be resolved in the courts or forums of Mumbai Maharashtra unless mutually agreed otherwise.

15.3 (Optional) We may require arbitration or alternate dispute resolution for certain disputes, per applicable law.

16. Miscellaneous

16.1 Severability: If any provision in these Terms is held invalid or unenforceable, that provision shall be severed and the remaining provisions enforceable.

16.2 Entire Agreement: These Terms, together with the Privacy Policy, Return Policy, and any other policies referenced, constitute the entire agreement between you and us, superseding prior agreements.

16.3 Waiver: Failure by us to enforce any right or provision does not constitute a waiver of such right or provision.

16.4 Assignment: We may assign or transfer our rights and obligations under these Terms (in whole or in part) to any third party.
